Chillboio Studios LLC – Terms of Service & Privacy Policy

By accessing, downloading, or using any game, chat platform, software, website, or service provided by Chillboio Studios (collectively, the “Services”), you agree to be bound by this combined document. Because Chillboio Studios is currently an unregistered collective, this agreement is a legally binding contract directly between you and the individuals operating the Services (“we,” “us,” “our,” or “the Operators”).


1. AGREEMENT TO LATEST TERMS & UPDATES

Your agreement to these Terms is continuous and self-renewing.

  • Automatic Acceptance: By using any of our Services at any time, you explicitly agree to the latest version of these Terms of Service, the Privacy Policy, and all Community Guidelines.
  • No Notification Required: We reserve the right to modify, add to, or rewrite these Terms at any time without prior notice to you. It is your sole responsibility to check this page periodically for changes.
  • Continued Use: Your continued use of the Services following any changes constitutes your irrevocable acceptance of those changes. If you do not agree to the latest version, you must immediately cease all use of our platforms and delete your account.


2. THE "FINAL SAY" (ORDER OF PRECEDENCE)

  • Enacted Guidelines: Because we operate multiple platforms, we may issue additional rules, including but not limited to global Community Guidelines, Codes of Conduct, or platform-specific rules (e.g., rules specific to a certain chat app or UGC game). These are enacted on top of these Terms.
  • Supremacy: In the event of a conflict between these Terms and any other rule or policy, these Terms of Service shall strictly control. No external guideline, community rule, or staff-issued policy may overwrite, nullify, or supersede any section of this document.


3. ELIGIBILITY AND AGE REQUIREMENTS

You must be at least 13 years of age to use any of our platforms. We do not knowingly collect data from children under 13. Any such accounts found will be terminated immediately, all associated data will be deleted, and hardware-level blocks may be issued to prevent re-registration.


4. MULTIPLE PLATFORMS & CROSS-PLATFORM ACCESS

Your Chillboio Studios account may grant you access to multiple distinct UGC games, virtual worlds, and chat platforms within our ecosystem. You acknowledge that a violation of these Terms on one platform may result in the suspension or permanent termination of your access across all current and future Chillboio Studios platforms.


5. USER-GENERATED CONTENT (UGC)

Our platforms allow you to upload, create, and share content including avatars, virtual worlds, scripts, messages, and audio.

  • Ownership: You retain ownership of the original content you create.
  • Irrevocable License to Us: By submitting, posting, or uploading content to any of our platforms, you grant Chillboio Studios a worldwide, royalty-free, perpetual, and irrevocable license to host, store, cache, reproduce, modify, display, and distribute your content. This license does not end if you stop using the service or delete your account; we retain the right to continue hosting any content already integrated into the ecosystem.
  • Unauthorized Content Penalty: You represent and warrant that you own all rights to the content you upload or have received express legal authorization from the owner. If you are found to have uploaded content that you were not authorized to use (including stolen assets, pirated material, or ripped models), your account will be subject to immediate suspension or permanent termination at our sole discretion.
  • Responsibility: You are solely responsible for ensuring your content does not violate laws or third-party intellectual property rights.


6. TERMINATION & "AT-WILL" BANNING

We reserve the right to suspend or permanently terminate your access to the Services (including all connected platforms) at any time, for any reason or for no reason, at our sole and absolute discretion. We are not required to provide a warning, a reason, or an explanation before or after a ban is issued.


7. BAN ENFORCEMENT (IP & HARDWARE BLOCKING)

To protect our communities and prevent ban evasion across our network of platforms, we utilize Identity-Level Blocking. If you are banned:

  • Network Blocking: We reserve the right to block your IP Address across all our servers.
  • Hardware Identification: We reserve the right to collect and ban your MAC Address and unique Hardware ID (HWID). This ensures that a banned user cannot simply create a new account on the same physical device.
  • No Evasion: Using VPNs, proxies, virtual machines, or hardware-spoofing to bypass a ban is a severe violation of these Terms and will result in further permanent blocking measures.


8. MANDATORY BINDING ARBITRATION (NO OPT-OUT)

PLEASE READ THIS CAREFULLY. IT WAIVES YOUR RIGHT TO GO TO COURT.

  • Mandatory Arbitration: Any dispute, claim, or controversy relating in any way to your use of the Services will be resolved by binding, individual arbitration, rather than in a court of law.
  • No Opt-Out: There is no "opt-out" provision. By using the Services, you agree that arbitration is your sole legal recourse.
  • Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.


9. PRIVACY & DATA COLLECTION

To operate our multiple platforms, sync your data, and enforce security, we collect:

  • Account Info: Username, email address, and platform preferences.
  • Technical Identifiers: IP Addresses, MAC Addresses, and HWIDs.
  • Usage Logs: Records of your interactions, chat logs, and content uploads within the Services.
    We do not sell your data. We share data only if presented with a valid, judge-signed warrant or subpoena from a court with jurisdiction over the Operators. Your hardware identifiers are stored securely for the sole purpose of maintaining ban blacklists.


10. COPYRIGHT & DMCA

Chillboio Studios does not currently have a registered DMCA Agent. If you believe your copyright has been infringed upon by a user on any of our platforms, email [email protected] with proof of ownership. We will review and remove infringing content at our discretion to protect the platform.


11. LIMITATION OF LIABILITY

The Services are provided "AS IS" and "AS AVAILABLE." To the maximum extent permitted by law, the Operators of Chillboio Studios shall not be liable for any indirect, incidental, or consequential damages (including loss of data, loss of uploaded UGC, or hardware failure) resulting from your use of our platforms.


12. GOVERNING LAW

These Terms are governed by the laws of the State of Ohio, USA. Any arbitration or permitted legal action shall take place within the jurisdiction of Ohio.
